Cybozu Labs (R) Outputz Software License Agreement
Outputz Software License Agreement Cybozu Labs, Inc.

Caution given to all legal entities and organizations going in for
trying out software products owned by Cybozu Labs, Inc. (hereinafter
referred to as "Cybozu Labs") (the software products hereinafter referred to as "these Software Products") (all these legal entities, organizations and Individual people are hereinafter referred to as "Customer".):

This Software License Agreement (hereinafter referred to as "this Agreement") is a legal agreement to be signed between Customer and Cybozu Labs. Customer's installing these Software Products constitutes
his or her agreeing to being bound by the provisions of this Agreement and the completion of this Agreement.

These Software Products are protected by copyright law and a treaty concerning copyright, law governing other intellectual property rights as well as the corresponding treaty. It should be noted that Cybozu Labs does not sell this Software but licenses these Software Products to Customer.

These Software Products contain a third party's programs in which Cybozu Labs does not own copyright.
Please note that this Agreement is not enabled for these programs. With regard to the conditions for the use of each of these programs, please see the following file before the
use of these Software Products:

If you do not agree to these use conditions, you are ineligible for the use of these Software Products, so, please uninstall the software immediately.

1. Scope of Use
In this Agreement Cybozu Labs grants a nonnegotiable right that these Software Products can be used free of charge non-monopolizing it based on the condition of providing to Customer:

2. Other Conditions
(1) Limitation of reproduction
Customer cannot reproduce these Software Products, except when admitted in this Agreement.

(2) Prohibition of distribution and transmit
Customer is not allowed to duplicate
distribute, lend, transmit (including automatic public transmission and making transmittable) of these Software Products for the third party at all.

(3) Prohibition of Lend, lease and reselling
Customer is not allowed to lease any of these Software Products and/or give it as a security. In addition, Customer is prohibited from assigning, reselling or granting the right to use these Software Products or licensing any third party to try out or use these Software Products.
Customer cannot give Corporations other than customer, employees of group, as well as constituent member and other individual the right to use of these Software Products.

(4) Limitation of reverse engineering, decompiling,
disassembling and change

Customer may not modify or translate document(s) pertaining to these Software Products, carry out reverse engineering, decompiling, disassembling of these Software Products, nor to make a software product derived from any of these Software Products.

In addition, The document concerning these Software Products cannot be corrected, and be translated.
These Software Products is permitted as one Software Products. Customer cannot be used by separating the composition part.

(5) Others
This Agreement is not allowed to Customer a trademark of Cybozu Labs or use of the service mark and other right to relate. The right not described clearly by this Agreement is reserved in Cybozu Labs.

3. Termination
In the event that Customer commits any breach of one of provisions and requirements of this Agreement, Cybozu Labs may forthwith terminate this Agreement without any notification.
Once this Agreement is terminated, Customer is obliged to scrap and/or discard these Software Products, their constituents, documents as well as all reproductions is no longer allowed to continue trying out or using these Software Products.

4. Limitations of Warranty
(1)Cybozu Labs does not warrant any of the following matters:
- Functions contained in this Software satisfy Customer;
- This Software works normally;
- In the event this Software has defects (including so-called bug
and structural problems), such defects are remedied.
(2)Cybozu Labs may change or discontinue the provision of service(s) incidental to this Software without Customer's prior consent. Cybozu Labs cannot permanently warrant the environment surrounding this Software provided at the time of signing of this Agreement.
(3)Any oral or written information or advice provided by Cybozu Labs is not subject to any additional warranty or expansion of coverage in any sense.

5. Limitations of Liability
(1) Customer is use of this Software, direct all damage indirectly that occurs based on use of service that accompanies this Software(data downfall, down of server, business stagnation, and complaint from third party, etc.), Customer is confirmed here that only Customer owes everything, and assumes danger to be the agreed one.

(2) In no event including illegal act, illegal contract or legal grounds, will Cybozu, this Software provider as well as providers of the individual information contents be liable for direct, indirect, particular, incidental or consequent loss and damages of any
kind whatsoever, including loss of commercial value, suspension of business, damages due to computer failure and any other commercial loss and damages. Furthermore, Cybozu will never be liable for any complaints and claims from a third party.

6. Copyright, etc.
(1) Intellectual property rights of any kind whatsoever, including ownership and copyright pertaining to these Software Products (their entirety including HTML program and screen display), papers relating to these Software Products, drawings and documents, etc. (hereinafter referred as "These intellectual property rights") inhere in Cybozu and its suppliers.

(2) These intellectual property rights are protected by copyright law, law governing other intellectual property rights as well as the corresponding treaty. Therefore, Customer is obliged to handle all these things in the same manner as for other copyrighted works.
(3) Please note that an intellectual property right concerning the individual contents accessed from these Software Products and thus displayed and used is the individual information contents provider's property and protected as such by copyright law, law governing other
intellectual property rights as well as the corresponding treaty.

7. Use of Customer information
As for these Software Products, the number of characters of destination URL of the text to which the customer is input and transmitted text is transmitted to the server of Cybozu Labs.
These information is recorded in the server of Cybozu Labs as information identified with the cookie for the Customer's own inspection.
It is accumulated as a part of statistical information that cannot specify the individual at the same time.
In Cybozu Labs, access information not done is recorded, not analyzed, and Cybozu Labs doesn't sell those information to the third party.
For the purpose of using part of the Service function, this Service may send a part of statistical information that cannot specify the individual to other services

8. Governing Law and Miscellaneous Rules
(1) This Agreement is governed under the laws of Japan without giving
effect to any principles of conflicts of laws.
(2) Both Customer and Cybozu Labs agree that if any dispute should arise in relation to this Agreement and/or these Software Products, the Tokyo District Court or Tokyo Summary Court has competent jurisdiction for
the first instance depending on the amount claimed.

9. Miscellaneous
In the event a software license agreement containing terms and clauses different from those in this Agreement are attached to these Software Products obtained by Customer, terms and clauses of this Agreement supersede the terms and clauses of the aforesaid software license agreement.
This Agreement constitutes the entire and only agreement between the parties hereto with respect to trial software license agreement and may be changed only in writing and signed and sealed by the parties.
